Terms of Service

Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using Scute (the "Service"), an authentication software product operated by NANOWEBGROUP LTD. ("us", "we", or "our").

Your access to and use of Scute, including its API, SDKs, and any associated integrations, is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all developers, organizations, and users who access or integrate Scute into their applications or services.

By accessing or using Scute, you agree to be bound by these Terms. If you do not agree to any part of the Terms, you are not authorized to use Scute.

Communication

By registering for a Scute developer account or integrating our Service, you agree to receive technical updates, security alerts, and other important communications. You may opt out of marketing communications at any time via the unsubscribe link or instructions included in our emails.

Purchases and Subscriptions

If you purchase a subscription or paid plan for Scute, you may be required to provide billing details, including your payment method and contact information. You represent and warrant that:

  • You have the legal authority to use the provided payment method(s).
  • All billing details you supply are accurate and complete.

We use third-party payment processors (e.g., Stripe, PayPal/Braintree) to handle transactions. By submitting payment information, you authorize us to share this data with these processors under our Privacy Policy. We reserve the right to refuse or cancel orders and subscriptions in cases of fraud, unauthorized use, or other violations of these Terms.

Availability, Errors, and Inaccuracies

We regularly update Scute's documentation, pricing, and technical features. Despite our efforts, errors or inaccuracies may occasionally occur. We reserve the right to correct such issues without prior notice.

API Usage & Developer Responsibilities

By integrating or using the Scute API and SDKs, you agree to:
  • Implement the Service responsibly and in accordance with all applicable laws and regulations.
  • Not use Scute for unlawful activities, including but not limited to identity theft, unauthorized access, or fraudulent authentication.
  • Maintain security and confidentiality of your API keys and integration credentials. You are fully responsible for activities conducted through your integration.

We may monitor usage patterns to ensure fair and lawful use of Scute.

Subscriptions & Billing

Scute offers subscription plans billed on a recurring basis (monthly or annually). Subscription fees are charged in advance at the start of each billing cycle unless canceled.

  • Renewals: Your subscription will automatically renew unless you cancel before the next billing cycle.
  • Free Trials: Scute may offer free trials. If you provide payment details during a trial, you won’t be charged until the trial ends unless you cancel beforehand.
  • Fee Changes: We reserve the right to update subscription fees. Notice will be provided in advance, and continued use constitutes acceptance.

Refunds

Refund requests are handled on a case-by-case basis and granted at our sole discretion.

Uptime Guarantee & Service Level Agreement (SLA)

We aim to provide 99.9% uptime availability for Scute each calendar month, excluding scheduled maintenance and force majeure events (e.g., natural disasters, government actions, or internet-wide disruptions).

  • Scheduled Maintenance: We will provide advance notice (via email or system alerts) of any planned downtime that may impact service availability.
  • Service Credits: If we fail to meet the uptime commitment in any calendar month, you may be eligible for service credits. Service credits are your sole and exclusive remedy for any downtime or service interruption. To request credits, you must notify us within 30 days of the incident.
  • Important: We do not guarantee uninterrupted service and disclaim liability for downtime caused by factors beyond our reasonable control.

Content & Data

While Scute does not store biometric data, it may process data points necessary for authentication, such as email addresses, IP addresses, and device-related data. By using Scute, you confirm that your own collection and use of data comply with applicable privacy laws.

Any data you transmit through Scute remains yours, but you grant us permission to process and store it strictly for providing and improving the Service.

Intellectual Property

Scute and all associated intellectual property—including but not limited to code, trademarks, documentation, and design—are the exclusive property of NANOWEBGROUP LTD. You may not reproduce, distribute, or create derivative works without prior written consent.

  • You confirm you are at least 18 years old and authorized to bind your organization (if applicable).
  • You agree to provide accurate and current information and keep your credentials secure.

We reserve the right to suspend or terminate accounts at our discretion, especially in cases of misuse or breach of these Terms.

Termination

We may suspend or terminate access to Scute immediately if you breach these Terms. You may terminate your account at any time by discontinuing use.

Limitation of Liability

To the maximum extent permitted by applicable law:

  • No Indirect Damages: NANOWEBGROUP LTD., its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from:
    • Your use of or inability to use the Service.
    • Any conduct or content of any third party on the Service.
    • Any unauthorized access, use, or alteration of your transmissions or data.
  • Maximum Liability: In no event shall our aggregate liability exceed the total amount you have paid to NANOWEBGROUP LTD. in the twelve (12) months preceding the claim.

Disclaimers

  • As-Is Basis: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or performance.
  • No Guarantee of Error-Free Service: We do not warrant that the Service will be uninterrupted, error-free, secure, or meet your requirements.
  • Third-Party Services: We disclaim responsibility for the actions, omissions, and content of any third-party services or integrations.

Governing Law

These Terms are governed by the laws of New York, United States, without regard to conflict of law principles.

Changes

We reserve the right to modify these Terms. Material changes will be communicated at least 30 days in advance. Continued use after changes constitutes acceptance.
